Data Room Terms

Data-room access is for evaluating and coordinating a project. It is not permission to use confidential information for any other purpose, and it is not an endorsement of the project by PRIVITY VENTURES INC. or Afunity.

1. Authorized purpose

You may access a project data room only for the role and project purpose authorized through Afunity. You may review documents to prepare, assess, coordinate, or support the project. You may not use them to compete with the project, contact counterparties for an unrelated purpose, or obtain an improper advantage.

2. Confidential information

Unless clearly marked public, data-room content is confidential. It may include business plans, ownership records, financial records, permits, technical reports, personal information, and third-party materials.

3. Access and sharing

Access is personal to your authorized account. Do not share credentials, links, downloads, screenshots, or documents with anyone who is not separately authorized. If your organization needs another reviewer, request access for that person.

4. Downloads, copies, and watermarking

Download permission does not change a document’s ownership or confidentiality. Afunity may watermark files and record views, downloads, uploads, changes, and access decisions. Make only the copies reasonably needed for the authorized purpose and preserve notices and watermarks.

5. Accuracy and independent review

Project administrators are responsible for submitted information. Notary Oracles and other reviewers act independently. Afunity coordinates the workflow but does not certify that documents are complete, authentic, current, legally sufficient, or suitable for funding or tokenization.

6. Personal and regulated information

Use personal information only for the authorized project purpose and in accordance with applicable law. Do not place payment-card data, account passwords, private keys, seed phrases, or unrelated personal records in a data room.

7. Required disclosure

If law requires disclosure, give the project administrator and Afunity prompt notice where legally permitted, disclose only what is required, and reasonably cooperate with efforts to seek confidential treatment.

8. Access changes, retention, and deletion

Access may be changed or revoked at any time. When your purpose ends or access is revoked, stop using the information and delete local copies unless law or a separate written agreement requires retention. Afunity retains hosted project and data-room documents under the schedule in its Privacy Policy, subject to project-specific agreements and legal holds.

9. Incidents

Promptly report suspected unauthorized access, disclosure, loss, or misuse to contact@afunity.com.

10. Other agreements

These Data Room Terms supplement the Terms of Service, Privacy Policy, and any separate confidentiality agreement. If a signed confidentiality agreement imposes stricter protection, the stricter obligation controls for that project.

11. Governing law and contact
